1. Acceptance of Terms

Welcome to MonitorPlatform ("Service", "we", "us", or "our"). These Terms of Service ("Terms", "Agreement") govern your access to and use of our website monitoring and uptime tracking services, including our website, API, mobile applications, and related services.

By creating an account, accessing, or using MonitorPlatform, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these terms, you may not access or use our Service.

You must be at least 18 years old or have parental consent to use our Service. By using MonitorPlatform, you represent that you meet these age requirements.

2. Account Registration and Security

2.1 Account Creation

To use MonitorPlatform, you must create an account by providing:

  • A valid email address
  • Your name or company name
  • A secure password
  • Accurate and complete information

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Keeping your contact information up to date

2.3 Account Restrictions

You may not:

  • Share your account credentials with others
  • Create multiple accounts to circumvent usage limits
  • Use false or misleading information during registration
  • Impersonate another person or entity

3. Service Description

MonitorPlatform provides website and API monitoring services, including:

  • HTTP/URL Monitoring: Regular checks of website availability and performance
  • API Health Checks: Monitoring of REST APIs with custom authentication
  • SSL Certificate Tracking: Monitoring of SSL certificate expiration dates
  • Heartbeat Monitoring: Dead man's switch for cron jobs and scheduled tasks
  • Multi-Channel Alerts: Notifications via email, Slack, Discord, SMS, and webhooks
  • Status Pages: Public and private status pages for your services
  • Analytics & Reports: Uptime statistics, response time trends, and incident reports

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable if we exercise these rights.

4. Subscription Plans and Billing

4.1 Pricing Plans

We offer the following subscription plans:

  • Free Plan: Limited features at no cost
  • Pro Plan: Monthly or annual subscription with enhanced features
  • Business Plan: Advanced features for growing teams
  • Enterprise Plan: Custom pricing and features for large organizations

4.2 Free Trial

We offer a 14-day free trial for paid plans. No credit card is required to start a trial. At the end of the trial period, your account will be downgraded to the Free plan unless you subscribe to a paid plan.

4.3 Payment and Billing

  • Subscriptions are billed monthly or annually in advance
  • All fees are in USD unless otherwise stated
  • Payments are processed through secure third-party payment processors (Stripe)
  • You authorize us to charge your payment method for all fees incurred
  • Failed payments may result in service suspension

4.4 Price Changes

We may change our pricing at any time. For existing subscribers, we will provide at least 30 days notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.5 Refunds

We offer a 30-day money-back guarantee for first-time subscribers to paid plans. Refund requests must be submitted within 30 days of your initial payment. Refunds are not available for renewal payments or after the 30-day period.

4.6 Cancellation

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period. No partial refunds are provided for unused time in your billing cycle.

5. Acceptable Use Policy

You agree to use MonitorPlatform only for lawful purposes. You must not:

  • Monitor websites or APIs you don't own or have permission to monitor
  • Use the Service to conduct denial-of-service attacks or similar activities
  • Attempt to bypass rate limits or usage restrictions
  • Reverse engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the Service or servers/networks
  • Use the Service for illegal activities or to violate any laws
  • Resell or redistribute the Service without authorization
  • Transmit viruses, malware, or harmful code through the Service
  • Harvest or collect data from other users without consent

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

6. Data Ownership and Usage

6.1 Your Data

You retain all ownership rights to the data you provide to MonitorPlatform ("Customer Data"). This includes monitoring configurations, alert settings, and monitoring results.

6.2 License to Use Data

You grant us a limited license to use your Customer Data solely to provide and improve the Service. We may use aggregated, anonymized data for analytics and service improvements.

6.3 Data Responsibility

You are responsible for:

  • The accuracy and legality of your Customer Data
  • Maintaining backups of critical data
  • Ensuring you have rights to monitor the URLs/APIs you configure

6.4 Data Export and Deletion

You may export your Customer Data at any time through our API or dashboard. Upon account termination, your data will be deleted within 30 days unless otherwise required by law.

7. Service Level Agreement (SLA)

7.1 Uptime Commitment

We commit to maintaining 99.9% uptime for paid plans, calculated monthly. This excludes scheduled maintenance windows (announced at least 24 hours in advance) and downtime caused by factors beyond our control.

7.2 SLA Credits

If we fail to meet our 99.9% uptime commitment, you may be eligible for service credits:

  • 99.0% - 99.9% uptime: 10% credit
  • 95.0% - 99.0% uptime: 25% credit
  • Below 95.0% uptime: 50% credit

Credits must be requested within 30 days of the incident and are applied to future invoices only.

7.3 No Warranty

Except for the SLA above, the Service is provided "as is" without warranties of any kind. We do not guarantee that the Service will be error-free or uninterrupted.

8. Intellectual Property Rights

The Service, including its software, design, text, graphics, logos, and other content (excluding Customer Data), is owned by MonitorPlatform and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Service.

Our trademarks, service marks, and logos may not be used without our prior written permission.

9. Limitation of Liability

Important Legal Notice: Please read this section carefully as it limits our liability.

To the maximum extent permitted by law, MonitorPlatform shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or downtime of your services
  • Loss of goodwill or reputation
  • Any other damages arising from your use of the Service

Our total liability to you for all claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD if you're on a free plan.

Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless MonitorPlatform, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Customer Data or monitoring activities

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at support@monitorplatform.com.

11.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Create risk or legal exposure for us

11.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We will delete your Customer Data within 30 days
  • You remain responsible for any fees incurred before termination
  • No refunds will be provided for unused time (except as stated in Section 4.5)

12. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Send you an email notification (if you have an account)
  • Display a prominent notice on our website

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you don't agree to the changes, you must stop using the Service and cancel your account.

13. Dispute Resolution and Governing Law

13.1 Informal Resolution

Before filing a formal dispute, please contact us at legal@monitorplatform.com to attempt to resolve the issue informally. We'll work in good faith to resolve any concerns.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

13.3 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property disputes.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MonitorPlatform regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet/network failures.
